Printing
There are two options for printing this site's pages: For best results, click inside a frame to activate it, then choose "Print Frame" (for Netscape Navigator) or "Print" (for Microsoft Explorer) from the File menu. What Type of Kit do I need?
We provide a wide variety of Corporate Kits for any type of entity in Georgia, and most types of entities in Alabama, Florida, North Carolina, South Carolina, and Tennessee. We offer a blank kit where you provide the corporate minutes; for Georgia entities, we provide fill-in-the-blank preprinted minutes; for Alabama, Florida, North Carolina, South Carolina & Tennessee we provide fill-in-the-blank preprinted minutes for select entities (please call for a list of those entities).
How long does it take to receive my kit?
If we receive your order by 11:00AM, we will generally ship it out on the same day via UPS Ground. Shipping time will depend on where your kit is being shipped. Metro Atlanta residents tend to receive kits in about 1-2 business days. Rush options are also available. Please call for details.
Should I get a stamp or a seal?
Most customers obtain an embossing seal. We also offer self-inking and pre-inked stamps at a small extra charge. Please call for details.
Should I have the year of incorporation engraved on my seal?
That is a matter of personal preference. Many people are proud of the year they incorporated and wish to have that year on their seal. Others may have been in business for quite some time before incorporating and do not wish to have the year on the seal.
How long does it take to receive my Stamp?
Our Self-Inking and Pre-Inked stamps are made in house and if you order before 11:00AM, we will generally ship your stamp to you that same day.
How do I determine my par value and/or the number of authorized shares?
You can find this information in your Articles of Incorporation/Organization. If you are having a hard time determining this information, you are welcome to fax a copy of your Articles to us and we can locate this information for you.
Do I have to have stock certificates?
There is nothing in the Georgia code that says you must issue stock certificates to evidence ownership. That being said, some shareholders feel more secure with a certificate and you may have to provide evidence of ownership to others at a later date. The small savings of not having stock certificates is outweighed by the potential inconvenience of not having them.
Do I have to have a seal?
There is nothing in the Georgia Code that says you must have a seal. That being said, most banks want to see you seal for business dealings. It may also be required by others as a part of a business transaction. The small savings of not having a corporate seal is outweighed by the potential inconvenience of not having one.
What are Minutes?
Minutes are the official records of the business. They are used to document major management decisions and tax elections. Each state has rules of when some specific minutes are required.
What are Bylaws?
The bylaws are teh governance rules of the entity. The LLC equivalent is the Operating Agreement.
How should I keep my Minutes up to date after I receive my kit from you?
(Georgia ONLY) When you receive your kit, we include a memo that gives you information on keeping your Minutes up to date. It is very important that you review this memo.
Do you have Multi-State Minutes?
We do not provide Multi-State Minutes, but we do have Fill-In-The-Blank Preprinted Minutes available for certain entity types in Georgia, Alabama, Florida, North Carolina, South Carolina and Tennessee. Please call for details.
